These Terms of Service (the "Terms") are an agreement between you and GitDocu Inc. ("GitDocu," "we," "us," or "our") and govern your access to and use of gitdocu.com and GitDocu's products and services (together, the "Services").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you agree to these Terms on its behalf and represent that you have authority to do so; in that case, "you" refers to that organization. If you do not agree, do not use the Services.
1. The Services and private beta
GitDocu analyzes software repositories to generate documentation, diagrams, pull request reviews, and answers about your codebase. The Services are currently offered as a private beta. During the beta:
- features may be incomplete, may change, and may be added or removed without notice;
- we do not guarantee any particular availability, uptime, or support response time; and
- we may limit, suspend, or end access to the beta at any time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate information, keep your account and GitHub credentials secure, and promptly tell us about any unauthorized use of your account. You are responsible for all activity that occurs under your account.
3. Your code and content
- You own your code. As between you and GitDocu, you retain all rights in the source code, repository contents, and other materials you connect to or submit through the Services ("Customer Content").
- Our limited license. You grant GitDocu a limited, non-exclusive, worldwide, royalty-free license to access, copy, process, store, and transmit Customer Content solely to provide, secure, and support the Services for you. This includes sending Customer Content to our AI and infrastructure service providers as described in our Privacy Policy.
- No model training. We do not use Customer Content to train artificial intelligence models.
- Your responsibility. You represent that you have all rights and permissions needed to connect Customer Content to the Services and to grant this license, including permission from your employer or the repository owner where required.
4. AI-generated output
The Services use artificial intelligence to produce review comments, documentation, diagrams, answers, and other output ("Output").
- Review before relying. Output may be inaccurate, incomplete, or out of date, and may miss bugs or security issues. Output is not a substitute for human review, testing, or professional security audits. You are responsible for reviewing Output before merging code, publishing documentation, or otherwise relying on it.
- Ownership. As between you and GitDocu, and to the extent permitted by law, you own the Output generated from your Customer Content, and we assign to you any rights we may have in it.
5. Acceptable use
You agree not to, and not to allow anyone else to:
- use the Services in violation of any law or regulation, or to infringe or misappropriate anyone's rights;
- connect repositories or submit content you are not authorized to use;
- upload malware or use the Services to develop malicious code or attack any system;
- probe, scan, or test the vulnerability of the Services, or bypass any security, authentication, or usage limits, except with our written permission;
- reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except where the law expressly permits it;
- resell, sublicense, or provide the Services to third parties without our permission, or use the Services to build a competing product; or
- use the Services in a way that violates Anthropic's Usage Policy, which applies to the AI features of the Services.
6. Fees
The private beta is free of charge unless we agree otherwise in writing. Before we begin charging for any part of the Services, we will tell you the price in advance, and you will not be charged unless you agree to a paid plan. Prices shown on our Site describe planned plans and may change before launch. Paid plans, when offered, may be subject to additional terms presented at purchase. You are responsible for any applicable taxes.
7. Third-party services
The Services work with third-party services, such as GitHub, and rely on third-party providers, such as Anthropic. Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, and changes to them may affect how the Services work.
8. Our intellectual property
The Services, including our software, designs, and trademarks, are owned by GitDocu and its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes. We reserve all rights not expressly granted.
9. Feedback
If you send us suggestions, ideas, or other feedback about the Services, we may use them without restriction or obligation to you.
10. Suspension and termination
You may stop using the Services at any time, disconnect repositories, or ask us to delete your account. We may suspend or terminate your access if you violate these Terms, if your use creates a security or legal risk, or if we discontinue the beta or the Services. Where reasonable, we will give you advance notice. After termination, we will delete Customer Content as described in our Privacy Policy. Sections 3 (license limits and your responsibility), 4, 8, 9, and 11 through 17 survive termination.
11. Disclaimers
The Services and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that Output will detect every defect or vulnerability.
12. Limitation of liability
To the maximum extent permitted by law, GitDocu and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages. Our total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of (a) the amounts you paid us for the Services in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you.
13. Indemnification
You will defend, indemnify, and hold harmless GitDocu and its officers and employees from any third-party claims, damages, and costs (including reasonable attorneys' fees) arising from your Customer Content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of Delaware, and you and GitDocu consent to the personal jurisdiction of those courts. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party for at least 30 days.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice on the Site at least 15 days before the changes take effect, unless the change is required by law or addresses a security issue. Continuing to use the Services after the changes take effect means you accept the updated Terms.
16. General
These Terms, together with our Privacy Policy, are the entire agreement between you and GitDocu about the Services. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
